联交所资料显示，特殊目的收购公司(SPAC)香港汇德收购(07841.HK) 的特殊目的收购公司并购交易(de-SPAC)已通过上市聆讯，预期将与目标公司Synagistics Pte. Ltd进行业务合并，是次交易联席保荐人为海通国际及招银国际。
Synagistics为东南亚电商解决方案平台，目前由阿里-W(09988.HK) 旗下阿里巴巴新加坡持股47.22%。假设悉数赎回SPAC股份，概无行使发起人提成权、目标公司创始人提成权，以及汇德收购SPAC权证及发起人权证所附带的认购权，且获准许股权融资的认购总金额为1,500万元，完成交割后汇德收购(又称继承公司)预期将会由阿里巴巴新加坡持股34.26%，届时阿里将成为其控股股东。
另外，完成de-SPAC后，汇德收购预期会更名为“狮腾控股”，英文名称“Synagistics Limited”。(gc/da)(港股报价延迟最少十五分钟。沽空资料截至 2024-10-03 16:25。)
