证监会表示，因福建诺奇股份(前上市编号1353)前首席财务官兼执行董事欧阳浩然没有履行其作为诺奇高级管理人员的职责，在原讼法庭取得针对他的取消资格令。欧阳浩然将不得担任香港任何法团的董事、清盘人、其财产或业务的接管人或经理人，以及不得参与香港任何法团的管理，为期三年，并被命令缴付证监会在有关法律程序中的讼费。
法庭是在欧阳浩然承认他没有履行职责监察诺奇的会计及财务职能；没有向诺奇的董事会提供意见及协助；以及没有监督诺奇账目及财务报告的拟备和确保进行适当的企业管治后，作出上述取消资格令。
证监会表示，调查发现诺奇前主席分多次从公司银行账户提走约2.25亿元人民币，约占诺奇从首次公开招股所得款项净额2.3652亿元人民币的95%，有关款项是在诺奇的股份于2014年1月上市后不久被提取的，未经诺奇董事会的适当批准，亦非用于任何真正商业用途。
证监会法规执行部执行董事魏弘福(Christopher Wilson)表示，投资者依赖上市公司财务总监监督企业财务职能及汇报工作，来维护业务资产，本案非常清楚地表明财务总监负有监督职责，须就可疑交易作出适当查询及即时向董事会汇报，亦有责任确保上市公司在所有财务报告中披露准确和完整的资料，因为投资者依赖相关资料来评估上市公司的财务状况。(gc/k)
