智通财经APP讯，结好控股(00064)及结好金融(01469)联合公布，于2024年11月5日，结好控股董事会要求结好金融董事会向计划股东提出建议集团重组。
根据该建议，于计划条件获达成并于该计划生效后，所有计划股份将被注销，而于计划记录时间名列结好金融股东名册的计划股东将有权从结好控股获得新结好控股股份及计划股息。
每1股已注销计划股份将获取4股新结好控股股份及计划股息0.50港元，相当于每股计划股份约1.116港元，较计划股份于最后交易日在联交所所报的收市价每股0.8港元溢价约39.50%。
待计划条件获达成或豁免(如适用)后，结好金融将于该计划生效后成为非上市公司及结好控股的直接全资附属公司，而结好金融股份在联交所主板的上市地位亦将撤销。
此外，应结好控股及结好金融分别作出的要求，结好控股股份及结好金融股份自2024年11月5日上午九时正起暂停买卖，以待刊发本联合公布。为使结好控股股份及结好金融股份自2024年11月6日上午九时正起在联交所恢复买卖，已向联交所作出恢复买卖申请。
