智通财经APP讯，广州农商银行(01551)发布公告，于2024年11月13日，董事会批准本次交易，据此，该行有条件同意转让所转让资产，同时，董事会提议提请在临时股东大会上寻求股东批准建议授权，并由董事会转授权其他相关人士共同或单独全权处理本次交易有关事项以使董事会及授权人士能够于授权有效期转让所转让资产。本次交易及建议授权的细节受限于临时股东大会的批准。
本次所转让资产为该行依法享有的债权资产，即该行持有的若干信贷资产及其他资产。与该资产有关的权益、利益及义务，从中产生就应收款项的请求、要求、获取及接受的权利，任何债权还款的总金额以及与执行和体现该资产的价值有关的权利及权力，均应从该行移交到买方。截至2024年9月30日，所转让资产的本金金额约为人民币118.61亿元、利息金额合计约人民币26.72亿元(具体以转让合同签署为准)，代垫司法费用合计约人民币0.59亿元，债权金额合计约为人民币145.92亿元。截至2024年9月30日，考虑已计提的资产减值准备等，所转让资产账面价值约为人民币103.40亿元。
该行将进一步提升精细化管理水平，优化资产结构、改善资产质量。本次交易完成后，所转让资产所有权将从该行转移到买方，该行收取相应现金代价。本次所转让资产风险分类为关注、次级、可疑及损失类资产，相关资产出表后，该行的风险资产规模将减少。本次交易，将有效提升该行风险抵御能力，提高经营效率与盈利能力，同时优化该行业务结构和资产质量，为实现整体稳定运营及长期发展奠定基础。
