财中社11月18日电国银金租（01606）发布公告，宣布其两家全资特殊目的公司于2024年11月18日与原买方及卖方签订造船合同更新协议，涉及购买两艘散货船，交易金额不超过6700万美元（约4.82亿元）。此次交易的最高适用百分比率合并计算后高于5%但低于25%，因此构成须予披露交易，需遵守相关申报及公告规定，但豁免通函及股东批准的要求。
该交易的代价将以美元支付，资金来源包括公司的自有资金及商业银行贷款。交易完成后，买方将以经营租赁模式出租该船舶。董事会认为，此次交易有助于增强公司的市场份额，符合公司的业务发展战略，且条款公平合理，符合公司及股东的整体利益。
