财中社11月17日电万洲国际（00288）发布公告，计划进行史密斯菲尔德食品有限公司的分拆及独立上市，预计此项分拆将构成主要交易，股东需在临时股东大会上投票批准。根据公告，分拆后，万洲国际在史密斯菲尔德的股权预计将减少至约80%。史密斯菲尔德的发售预计相当于按悉数摊薄基准提呈发售最多达20%的股份，发售价尚未确定，但预计将不低于53.8亿美元的资产净值。
分拆将涉及对股东的实物分派，预计比例在0.35%至0.45%之间。此次分拆的理由包括提升各自业务的市场透明度、增加资金灵活性、优化资源分配等。董事会及独立董事委员会均认为该分拆符合公司及股东的整体利益，建议股东投票支持。预计分拆完成后，史密斯菲尔德将继续作为公司的附属公司，其财务业绩仍将并入万洲国际的综合财务报表中。
