港华智慧能源拟出售中国延伸业务相关资产 估值1.08亿元
财中社11月22日电港华智慧能源（01083）发布补充公告，涉及与中国延伸业务相关的股权及资产的转让和出售，以及收购香港中华煤气有限公司集团的股权。公告中提到，针对名气家成都40%股权、A组公司49%股权及B组公司49%股权的估值已由独立专业估值师进行评估，截止至2024年3月31日的企业价值分别为3217万元、5325万元和2243万元。
此外，公告中指出，港华智慧能源的较高价值功能的评估值总计为1.24亿元。名气家截至2023年12月31日的EBITDA为6.09亿元，经过调整后的EV/EBITDA比率为5.13，市场价值计算为24.43亿元。此次交易的定价基准、转让协议及相关条款均被董事会认为公平合理，符合公司及股东的整体利益。
