智通财经APP讯，常满控股(08523)发布公告，于2024年11月25日，公司(作为发行人)与潜在认购人王跃峰先生订立不具法律约束力的谅解备忘录。
谅解备忘录载列王先生(透过受其控制的特殊目的公司)认购公司新股份的意向，但有待进一步磋商及签立最终协议。
倘可能认购事项落实，可能会导致公司控制权变动及收购守则规则26.1项下的强制性全面要约。于本公告日期，尚未就可能认购事项订立最终协议，且讨论仍在进行中，可能认购事项不一定会进行。
据悉，王先生为一名中国企业家，并且为多源发电系统方案提供商力宇集团的创办人兼董事长。力宇集团于1994年创立，总部位于中国长沙，专注于开发及制造环保节能电力设备。力宇集团在中国广东、湖南、山西、内蒙及北京设有五大能源产业基地，总占地面积逾35万平方米，拥有超过1200名雇员的专业团队，力宇集团拥有全球先进能源方案网路。
董事认为，可能认购事项为巩固公司资本基础及财务状况的机会，有利于集团未来业务发展及扩大公司股东基础，并有助达成公司股份于联交所恢复买卖的复牌指引。
