江南布衣167万元收购慧展科技全部股权
财中社11月28日电江南布衣（03306）发布公告，宣布于2024年11月28日与慧展科技签订股权转让协议，江南布衣服饰同意收购目标公司全部股权，慧展科技同意出售。此次收购的代价为167万元，需在协议签署后7个营业日内支付。此外，江南布衣服饰还需在一个月内通过目标公司向慧展科技及其关联方支付不超过8200万元的款项，用于结算应付账款，其中4000万元将作为贷款入账，其余将作为增资款入账。
目标公司于2023年12月14日在中国注册成立，主要从事名为“B1ock”的设计师品牌销售。截至2024年6月30日，目标公司未审计的资产总额约为7820万元，负债总额约为7790万元。其两年度的未审计除税前净利润分别为242万元和176万元。此次收购将使目标公司成为公司的全资附属公司，其财务业绩将合并入公司的财务报表。董事会认为，此次交易条款公平合理，符合公司及股东的整体利益。
