集团拟透过订立委托贷款协议III提高现金及现金等价物的收益率，从而提升本集团的投资收入及溢利。委托贷款协议III项下贷款的利率为一年期LPR加每年440个基点，此将使本集团可从净息差中获益，塬因为本集团根据委托贷款协议III收取的有关贷款利率高于本集团的平均借款成本。委托贷款协议III的条款乃由世纪阳光与齐城智慧基于(其中包括)齐城智慧的融资需要以及本集团对齐城智慧的还款资金来源、业务状况与信誉所作评估，按公平原则磋商厘定。于委托贷款协议III日期，董事认为，委托贷款协议III乃按一般商业条款订立且符合本公司及股东的整体利益。
