智通财经APP讯，品创控股(08066)发布公告，于2024年4月17日，投资者北京德生万利时印艺科技有限公司(即公司的间接全资附属公司)与目标公司订立注资协议，投资者有条件同意以认购价人民币360万元认购目标公司的注册资本。完成后，投资者、原股东A蒲越及原股东B郭榕翔将分别持有目标公司经扩大注册资本的20%、56%及24%。因此，目标公司应作为公司的联营公司入账，及目标公司的财务业绩将不会并入集团的综合财务报表。
截至2024年11月28日，注资协议的尚未达成的先决条件未获达成(或获豁免)。因此，目标公司与投资者已于2024年11月28日订立终止契据，以终止注资协议及其项下拟进行认购事项。目标公司亦已根据注资协议的条款向投资者退还认购价。
