集海资源斥资8190万元收购目标公司52%股权
财中社11月25日电集海资源（02489）发布公告，宣布于2024年11月25日与相关方签署股份购买及增资协议，交易总额为8190万元。此次交易将使公司间接持有目标公司52%的股权，目标公司将成为公司的非全资附属公司，其财务业绩将并入公司的财务报表。
在此次收购中，股份购买代价为2940万元，增资代价为5250万元。增资完成后，目标公司的注册资本将从5300万元增加至7950万元。PRGRHK2 Ltd和MYG将分别向目标公司注资，分别持有约41.051%和10.949%的股权，而熠辉投资和招远黄金的持股比例将减少至约40.000%和8.000%。该收购符合公司的增长战略，旨在扩展矿产资源和提升矿石加工能力。
