三未信安完成收购江南天安81.8%股权
财中社11月25日电三未信安（688489）发布关于收购资产完成的公告。公司于2024年10月30日召开会议，决定以自有资金1.7亿元和部分超募资金9000万元收购北京江南天安科技有限公司原股东邓冬柏、胡瑾共计81.8%的股权，标的公司的出资额为2455万元。本次交易不构成关联交易，也不构成重大资产重组。
截至2024年11月25日，股权交割已完成，工商登记手续已办理，江南天安的管理权已交接，董事、监事已派出并办理工商备案，取得营业执照。完成交割后，公司持有江南天安81.8%的股权，江南天安成为公司的控股子公司，纳入合并报表范围。
2024年前三季度，三未信安实现收入2.55亿元，归母净利润1416万元。
