智通财经APP讯，东阳光长江药业(01558)及要约人广东东阳光药业股份有限公司联合公布，有关要约人、公司与沈阳三生制药有限责任公司(沈阳三生)(一家位于中国沈阳的生物制药公司并为三生制药(一家在香港联合交易所主板上市的公司(股票代码：1530))的附属公司)签署有关苯磺酸克立福替尼的授权许可协议。
根据协议的条款，沈阳三生获授予苯磺酸克立福替尼在中国关于特定适应症的独家商业化权益，而要约人及公司将保留苯磺酸克立福替尼在中国以外的独家商业化权益。根据协议的条款，要约人有望在授权许可协议的有效期内收取人民币6000万元的首付款，此外还将有望收取研发注册及商业里程碑付款。研发注册里程碑付款取决于是否能达到协议的研究阶段及特定监管机构的批准。商业里程碑付款则取决于能否在各主要市场达到协议的年销售额。在苯磺酸克立福替尼在中国首次商业销售并回款后，要约人将在协议有效期内每月向沈阳三生支付其该月在中国就苯磺酸克立福替尼销售的净回款到账金额的约定百分比作为服务费。授权许可协议的有效期为签署日起到首次商业销售之日起至少十五年。授权许可协议乃公司与要约人在2023年11月29日签订的药品研发管线合作项目框架协议项下有关药品商业化的落实措施。
