财中社11月27日电建发国际集团（01908）发布公告，宣布与成都美凯龙签订委托管理协议，协议自2024年11月26日起生效，预计为期十年。根据协议，成都美凯龙将委托公司提供商业开业筹备、招商及运营管理等服务。此次交易构成公司与关联人士之间的持续关联交易，年度上限在0.1%至5%之间，因此需遵守相关申报和公告规定，但可免除独立股东批准。
协议的年度上限分别为2024年11月至12月为100万元，2025年为3500万元，2026年为5000万元，2027年为5600万元，2028年为6200万元，2029年为6700万元，2030年为7000万元，2031年为7300万元，2032年为7600万元，2033年为7900万元，2034年为8200万元，2035年为8500万元。公司已委任独立财务顾问以确认协议期限超过三年的合理性，并表示此类协议在行业中属于正常商业惯例。
