　11月27日消息，近日，宁波证监局对宁波友联盛业文化发展股份有限公司（以下简称友联盛业或公司）及张梅生、卢茂英、温传明、哈志慧、林志明、金孟演、金永光采取出具警示函措施的决定，因公司存在未履行挂牌公司收购信息披露义务、信息披露文件存在虚假记载、收购过渡期违规改选董事会等问题。

　　具体来看，友联盛业的股东与上海北实置业发展有限公司不晚于2022年1月25日签订《收购框架协议》，约定北实置业以现金方式受让公司全部股份500万股，公司未予以披露。

　　截至目前，前述收购剩余367.5万股尚未交割。收购过渡期内，友联盛业改选了董事会，张梅生、卢茂英、温传明等3人辞去董事职务，新增选来自收购方的董事3名，超过董事会成员总数的1/3。收购期间友联盛业多次发布《股票交易异常波动公告》，但均未如实披露收购以及股权交割等事项。

　　此外，督导机构申万宏源及督导员亦收罚单。宁波证监局表示，申万宏源作为友联盛业主办券商，孙冰妍作为持续督导员，未能勤勉尽责履行持续督导职责，根据相关规定，决定对公司和个人采取出具警示函的行政监管措施，并记入证券期货市场诚信档案。
