目标公司为巨人教育和五湖房地产。巨人教育为一家在中国注册成立的有限公司，主要从事教育咨询服务、企业管理服务。于本公告日期，巨人教育由四川希望教育全资实益拥有。五湖房地产为一家在中国注册成立的有限公司，主要从事房地产开发经营、自有商业房屋租赁服务。于本公告日期，五湖房地产由成都瑾育华全资实益拥有。
目标学院为河北省人民政府于2021年批准成立的非营利性全日制民办高等院校，创办资本为人民币500万元。于本公告日期，巨人教育为目标学院的举办者，并拥有目标学院100%的经营权及权益。
此次出售，能更好地帮助公司筹集资金，获取金融资源，帮助公司更好有效地化解债务，为公司可持续发展创造条件。
