建发国际集团签署新框架协议 关联交易年度上限逐年提升
财中社12月6日电建发国际集团（01908）发布公告，宣布于2024年12月5日与建发房产及建发商管签订了经重绩框架协议，协议期限为2025年1月1日至2027年12月31日。根据该协议，建发商管将向建发房产、建发国际及其附属公司提供各类商业项目管理服务。该协议是基于2022年9月7日的联合公告，原框架协议将于2024年12月31日到期。
公告中提到，与建发房产的交易构成持续关联交易，因年度上限的适用百分比率超过0.1%但低于5%，因此需遵守申报、公告及年度审核规定，但获得豁免独立股东批准要求。根据过往交易数据，截至2023年12月31日，建发商管分别向余下建发房产集团和余下建发国际集团收取的服务费为3890万元和820万元。未来三年的年度上限预计为向余下建发房产集团收取6000万元、7000万元和8000万元，向余下建发国际集团收取1200万元、1600万元和2000万元。
