智通财经APP讯，中国建材(03323)公布，摩根士丹利将代表该公司提出附带先决条件现金要约，按每股H股4.03港元的要约价回购并注销最多达最高数目的股份(即841,749,304股H股，占于本公告日期已发行股份约9.98%及已发行H股约18.47%)。公司将回购的H股将不会超过最高数目。要约价较H股于最后交易日在联交所所报的收市价3.50港元溢价约15.1%。
要约将根据守则提出。要约的代价(倘要约获全面接纳，则合共为约33.92亿港元)将以现金支付予接纳股东，并将以外部借款及╱或内部资源拨付。
