中国建材增资中建材绿能1880万美元
财中社12月8日电中国建材（03323）发布公告，公司非全资附属公司天山股份与北新集团、摩科瑞及中建材绿能于2024年12月6日签署增资协议，天山股份将以现金方式对中建材绿能增资约1880万美元。其中约1765万美元计入注册资本，其余计入资本公积。增资完成后，天山股份将持有中建材绿能15.00%的股权。此次增资被认定为公司的关联交易。
根据公告，由于母公司直接及间接持有本公司约45.02%的股权，故本次增资构成关联交易。增资的适用百分比率均低于5%，因此根据上市规则获得豁免，无需股东批准，仅需遵守公告及申报规定。增资后，北新集团、摩科瑞及天山股份的实缴出资比例分别为43.35%、41.65%及15.00%。此次增资符合公司绿色发展战略，预计将为公司在碳交易市场带来相关收益。
