晋商银行计划召开临时股东大会审议华能框架协议等事项
财中社12月6日电晋商银行（02558）发布公告，计划于2024年12月27日召开2024年第一次临时股东大会，主要审议与华能资本签订的经重续华能框架协议及其相关交易。该协议的有效期为2025年1月1日至2027年12月31日，并设定了建议年度上限，涉及投资金额、投资回报及管理费等。
根据公告，2025年度的投资金额上限为20亿元，2026年度为14亿元，2027年度不再投资。公告还显示，2024年度的投资金额、投资回报和管理费预计将低于批准的年度上限，主要因市场状况及监管限制导致的投资需求下降。
此外，晋商银行2025年度不良资产的核销额度建议为15亿元。2024年第一次临时股东大会还将审议执行董事和独立非执行董事的委任事项。
