中国旭阳集团收购旭阳研究院100%股权，交易额1.81亿元
财中社12月8日电中国旭阳集团（01907）发布公告，宣布其全资附属公司旭阳集团与旭阳控股于2024年12月6日签订股权转让协议，收购旭阳研究院100%股权，交易金额为1.81亿元。完成后，旭阳研究院将成为公司的间接全资附属公司。该收购事项构成公司的关联交易，适用的最高百分比率超过0.1%但低于5.0%，因此无需独立股东批准。
根据评估，旭阳研究院截至2024年8月31日的股东全部权益价值约为1.81亿元。公告中提到，旭阳研究院在2024年8月31日的总资产为26.54亿元，净资产为1.8亿元。此次收购有助于加强公司的总部管理，并利用旭阳大厦作为公司的投资物业，预计将提升公司的盈利能力和股东回报。
