智通财经APP讯，天机控股(01520)公布，于2024年12月6日(交易时段后)，公司(作为认购方)与发行人信桥资本集团有限公司订立认购协议，发行人将按每股优先股540港元的认购价向该公司发行及配发11,112股优先股，优先股股息率为每年 3.8%。
据悉，发行人的核心经营业务为构建及营运创新的平台，将真实世界资产(RWA)通过区块链技术进行通证化，并为全球客户提供包括但不限于发行稳定币、代币及同质化代币(NFT)等软件、硬件技术服务和开放式商业咨询服务，以便客户能够向其用户提供更高效、透明和便捷的服务。
发行人获得金链汇信科技发展(北京)有限公司永久全球独家授权，授权产品包括通用兑换凭证平台相关的专利、软件著作权、专有技术等。发行人有权分许可或再许可给任何其他第三方。
公告称，集团认购优先股作投资用途。集团的投资策略为在可接受的风险水平内为集团带来稳定的回报。认购事项为集团提供了赚取高于银行存款利息收入的固定股息收入，以及当发行人业务发展良好时赚取额外股息收入的机会。
此外，根据优先股的条款，公司享有项目投资优先权，以取得由发行人成立用作营运发行人主要业务的项目公司的股份，此乃在出现良机时让集团能直接参与通用兑换凭证平台业务的机会。
