智通财经APP讯，郑煤机(00564)公布，2024 年 12 月 13 日，公司召开第六届董事会第十次会议、第六届监事会第九次会议，审议通过了《关于收购控股子公司亚新科工业技术(南京)有限公司部分股权暨关联交易的议案》，同意公司使用自有资金约6.99亿元(含税金额)收购控股子公司亚新科南京的其他股东所持有的亚新科南京合计 16.6081% 股权(对应亚新科南京注册资本为约2.39亿元)，本次交易完成后，公司持有亚新科南京的股权比例将由 83.3919%提升至 100%。
公告称，当前，全球经济将延续疲软态势，外部形势依然复杂严峻，公司所在煤机行业市场下行压力增大，汽车零部件行业竞争加剧。根据公司战略发展规划，收购控股子公司少数股权、提升控股比例是公司加强产业协同、提高归母盈利能力、强化资源整合的重要战略部署。本次交易将提高公司对控股子公司的持股比例，有利于提升公司及子公司运营决策效率，支持增强子公司发展实力，推动核心业务子公司做大做强，整合资源实现整体价值最大化，提高公司及控股子公司的竞争力和可持续发展能力，并将进一步提升归属于上市公司股东的盈利水平。
