Nukkleus (NUKK) said late Wednesday it priced a private placement of 1.7 million units at $6 per unit for gross proceeds of $10 million.
Each unit consists of one share of restricted common stock and warrants exercisable for one and one-half of shares of restricted common stock at $6 per share.
The company said the placement is with a single New York-based family office investor.
Net proceeds from the offering, which is expected to close around Thursday, will be used to finance the proposed acquisition of Star 26 Capital, a defense acquisition company holding 95% ownership in RIMON, as well as for general corporate purposes and working capital.
Shares of the company fell more than 16% in premarket activity Thursday.
