乐普生物与乐普医疗CDMO服务关联交易预计2025年上限为3600万元
财中社12月17日电乐普生物-B（02157）发布公告，提及与乐普医疗签订的CDMO服务框架协议，该协议于2024年11月26日达成，内容包括为乐普医疗及其附属公司提供药物开发相关的CDMO服务及设备。协议的有效期为2025年1月1日至2025年12月31日。根据公告，2024年CDMO服务的年度上限为4600万元，截至2024年10月31日，实际确认收入为2840万元，使用率约为74.1%。预计2025年的建议上限为3600万元。
此外，乐普生物计划于2025年1月7日召开第一次临时股东大会，会议将审议上述CDMO服务框架协议及其交易的建议上限，以及提议变更核数师。董事会认为该交易符合公司及股东的整体利益，并建议独立股东投票支持。新百利融资有限公司被委任为独立财务顾问，提供相关交易的公平性意见。
