智通财经APP讯，昭衍新药(06127)发布公告，公司董事会于近日收到孙明成先生(孙先生)、翟永功博士(翟博士)及欧小杰先生(欧先生)的辞任函。孙先生、翟博士及欧先生因连续服务即将满六年而辞去独立非执行董事职务。辞任将由股东于本公司应届临时股东大会(临时股东大会)上批准委任新的独立非执行董事后生效。自彼等辞任生效日期起，孙先生将不再担任审核委员会主席以及薪酬与考核委员会成员;翟博士将不再担任提名委员会主席及审核委员会成员;而欧先生将不再担任薪酬与考核委员会主席以及提名委员会及战略发展委员会各自的成员。
本公司董事会于近日收到左从林先生(左先生)的辞任函。左先生主要因工作安排辞去执行董事职务。自其辞任生效日期起，左先生将不再担任董事会副主席，薪酬与考核委员会以及战略发展委员会成员。
董事会议决提名杨福全先生、阳昌云先生及应放天先生各自为独立非执行董事。建议委任杨福全先生、阳昌云先生及应放天先生须待股东于临时股东大会上以普通决议案形式批准后，方告作实。
