智通财经APP讯，金利来集团(00533)及要约人广朗有限公司公布，于2024年12月2日，要约人要求董事会向计划股东提呈建议，根据公司条例第673条以计划安排方式将该公司私有化。公司已向联交所申请自2024年12月18日上午九时正起恢复股份买卖。
倘建议获批准并予以实施，所有由计划股东持有的计划股份将于生效日期注销及剔除，以换取要约人就每股计划股份以现金向计划股东支付注销价1.5232港元(减股息调整(如有))，注销价较股份于最后交易日在联交所所报收市价每股1.22港元溢价约24.85%。
鉴于市场上的股份成交量偏低，而该公司于过往20年来并无利用其上市地位进行集资活动，公司认为其于联交所的上市地位作为公司业务及未来增长的筹资来源已变得无关紧要。建议涉及将 公司除牌，预期可简化营运程序，并减少与维持公司上市地位及遵守监管规定有关的管理资源及行政成本。私有化将精简公司的营运，并减少与上市公司相关的复杂性。
于公告日期，要约人唯一股东及唯一董事为曾智明先生。曾智明先生为公司执行董事、主席兼行政总裁。
