智通财经APP讯，纳思达(002180.SZ)公告，公司拟出售公司控股子公司Ninestar Holdings Company Limited间接持有的Lexmark International II, LLC的100%股权。标的公司间接持有 Lexmark International, Inc.(利盟国际有限公司，简称“利盟国际”)100%股份。本次交易将实现上市公司对所控股的利盟国际的整体出售。利盟国际及其子公司主要从事打印机全产业链业务。
据公告所示，上市公司通过其控制的卖方以现金方式向买方出售卖方所持标的公司100%股权。卖方与买方、标的公司已签署《股权购买协议》，约定买卖双方将于交割条件全部满足或被适当豁免后进行标的公司100%股权的交割。在交割时，买方向卖方支付预估购买对价并按照《股权购买协议》约定向相关方支付款项。《股权购买协议》约定本次交易在交割时预估购买对价为：(i)15亿美元的基准金额;加上(ii)预估净营运资金调整数(可能为正数或负数);减去(iii)预估融资负债;加上(iv)预估交割日现金;减去(v)预估交易费用。
