智通财经APP讯，帝王实业控股(01950)发布公告，于2024年12月27日，公司(作为卖方)与买方BlueOcean Investment (Global) Ltd(独立第三方)订立买卖协议，卖方有条件同意出售，而买方有条件同意以购买价购买出售股份(占目标公司已发行股本的25%)。购买价人民币2084万元应以现金分期支付。
于本公不日期，目标公司Darkblue Investment Ltd.由卖方直接全资拥有。于完成时，目标公司将由卖方持有75%，由买方持有25%。目标公司主要从事投资控股业务，而其间接全资附属公司浙江深蓝主要从事制造及销售人工革化学品。
Cao Yang(Cao)，为买方的最终实益拥有人，已在人工革行业工作超过20年，目前从事人工革的外贸业务。据信，订立买卖协议及其项下的出售事项将会(i)提升集团的销售，因为Cao将协助开发人工革的销售及外贸市场;及(ii)为集团提供机会出售其在目标公司部分权益，以更好地利用其管理及财务资源，维持其在各业务中的现有运营，并为集团带来即时现金流入。因此，此将改善集团的流动性，增加营运资金，并加强其整体财务状况。董事认为出售事项的条款属公平合理，并符合公司及其股东的整体利益。
