建发国际集团签署5.85亿元合作协议
财中社12月26日电建发国际集团（01908）发布公告，宣布与莆田联欣泰、莆田市筑圆、福州汇成佰悦签署合作协议，涉及位于中国莆田市荔城区的土地使用权，总代价为5.85亿元。此次合作协议签署于2024年12月26日，协议约定各方通过合营企业在该土地上开发住宅及商业项目。公司附属公司厦门兆澄垚在合营企业中的权益为9%，其资本承诺为5265万元。
根据上市规则，因建发股份为公司控股股东，莆田联欣泰为其全资附属公司，因此本次交易构成公司的关联交易。合并交易的一项或多项适用百分比率超出0.1%但低于5%，因此需遵守相关申报及公告规定，但获豁免独立股东批准。合营企业成立时的初始注册资本为5.85亿元，所有出资将用于收购该土地，合营企业将不成为公司的间接附属公司，且其财务业绩不会在公司的财务报表中综合入账。
