连连数字拟售连通（杭州）技术服务股权 总对价达16.01亿元
财中社12月26日电连连数字（02598）发布公告，宣布于2024年12月25日与买方Amex TRS及AEMD签订协议，出售其持有的连通（杭州）技术服务有限公司股权。根据协议，AmexTRS将以15.69亿元购买目标公司14.27%的股权，AEMD将以3203万元购买0.29%的股权。此次出售事项的总对价为16.01亿元，涉及的目标公司截至2024年8月31日的估值为75亿元。
此外，目标公司将同时进行增资，注册资本将增加23.3亿元，增至80.9亿元。AmexTRS和AEMD将分别认购增资部分的股份。完成出售事项和增资后，目标公司将由Amex TRS、本公司及AEMD持有80.72%、17.63%及1.65%的股份。此次交易被视为本公司的一项须予披露交易，但无需股东批准。董事会认为此次出售有助于实现投资回报及资源重新配置，以支持公司的长期发展。
