四川能投发展(01713.HK) 早前公布，控股股东能源投资集团与四川省投资集团拟进行的战略重组。12月30日(今日)，公司获悉能源投资集团与四川省投资集团于同日就实施重组订立合并协议。据此将成立新实体四川能源发展集团。
公司指，合并协议需履行相关必要的审批程序。重组如获付诸实行，则除非获执行人员豁免，否则可能触发四川能源发展集团一方须根据收购守则规则26.1，就其本身或其一致行动人士已拥有或同意收购以外的全部股份作出强制全面要约。因此，预计将向执行人员申请豁免遵照收购守则规则26.1注释6(a)的规定作出强制全面要约(豁免)。执行人员可能会或可能不会给予该项豁免，而重组则以取得该项豁免为条件。
公司指，重组完成后，预计四川省政府国资委仍将为公司最终实际控制人。(ha/da)(港股报价延迟最少十五分钟。)
