智通财经APP讯，康耐特光学(02276)发布公告，有关公司向香港歌尔泰克有限公司(承配人)配售新H股股份，公司获承配人通知，配售公布后，其已与若干现有股东(公司控股股东除外)进行磋商以收购若干现有股份。于本公告日期，承配人有条件同意向现有股东收购不超过4280万股股份。倘该等收购全部完成，将导致承配人于配售后持有合共9612.5万股股份。该等收购须视条件而定，且未必会全部完成，承配人将自现有股东收购的最终股份数目及建议收购的完成时间尚未确定。
于2024年12月28日，公司与承配人签订了有条件共同承诺契约，将于配售事项完成后生效，据此：(1)承配人已向公司承诺，自承配人完成认购或收购相关股份的相关日期起36个月内，对于其认购或收购的合计不超过首批9612.5万股股份而言，未经公司事先同意，承配人不得出售其所获得的股份，但某些特殊情况下除外;(2)公司同意，只要承配人持有公司已发行股本不少于10%，其将尽其最大努力促使承配人提名的候选人获委任为非执行董事及(如适用)于承配人通知后罢免该非执行董事(但须受限于所有适用的法律及法规，包括但不限于香港联合交易所证券上市规则)。
