卫龙美味签包装材料新协议
财中社12月31日电卫龙美味（09985）发布公告，宣布与德龙彩印签订新的包装材料供应框架协议，以替代将于2024年12月31日到期的现有协议。新协议的有效期为三年，从2025年1月1日起生效，至2027年12月31日结束。根据新协议，德龙彩印将继续向公司提供食品包装材料，预计2025年、2026年和2027年的年度上限分别为1.06亿元、1.16亿元和1.28亿元。
公告中提到，历史交易金额显示，2022年、2023年和2024年公司向德龙彩印支付的包装材料费用分别为1.57亿元、1.96亿元和2.46亿元。由于德龙彩印的股权结构，刘福平拥有其30%的股份，且他为公司的执行董事及控股股东，因此此次交易构成公司的持续关联交易。根据《上市规则》，该交易的最高适用百分比率超出0.1%但低于5%，因此不需要独立股东批准，但仍需遵循相关申报和公告规定。
