四川能投发展宣布控股股东合并重组计划
财中社12月30日电四川能投发展（01713）发布公告，宣布控股股东能源投资集团与四川省投资集团于2024年12月30日签署了合并协议，以实施战略重组。根据四川省人民政府的要求，重组后将成立新的实体四川能源发展集团，股东包括四川省政府国资委、四川发展公司及四川省财政厅，四川省政府国资委将成为实际控制人。
重组交割将于双方书面同意的日期进行，并需获得中国国家市场监督管理局和证监会的审批。合并协议的生效条件包括法定代表人签字及公章盖章。此外，重组可能会触发根据收购守则的强制全面要约，需向执行人员申请豁免。公司表示，重组的实施存在不确定性，股东和投资者需谨慎决策。
