智通财经APP讯，朗华国际集团(08026)发布公告，于2024年12月30日，公司拟向卖家Abundant Victory Group Limited收购目标公司(香港乐图控股有限公司)已发行股本的51%，最高总代价535.9万港元将透过配发及发行代价股份支付。
据悉，目标公司为一间位于中国大湾区的物业管理服务供应商。其为客户提供物业管理服务及人工智能物联网(AIoT)系统支持。主要营运附属公司乐图(深圳)物业管理服务有限公司(乐图物业)成立于2024年5月15日。
收购事项为集团扩大其业务网络及客户基础、加强其现有业务的宝贵机会，并进一步使集团能够在不对集团现金流量造成不利影响的情况下，增加收益来源及更有效动用其资源。
经考虑上述原因，董事认为收购事项与集团的整体业务策略一致。集团将继续寻求业务机会以及与各行业层面的其他资讯科技专业人士及专家的合作机会，进一步加强集团的现有业务并扩大于不同行业的业务网络。
