中华银科技（00515）发布公告，于2024年12月27日，公司与认购人订立认购协议，公司已有条件同意发行，而认购人已同意认购本金总额为1606.6万港元的可换股债券。
按初始换股价每股换股股份0.10港元计算，于可换股债券所附换股权获悉数行使后，公司将配发及发行合共1606.6万股换股股份，相当于经发行换股股份扩大后公司已发行股本约12.42%（假设于本公告日期至可换股债券获悉数转换期间公司已发行股本并无其他变动）。初始换股价0.10港元较股份于2024年12月27日在联交所所报的收市价每股0.043港元溢价约132.56%。
发行可换股债券的所得款项净额预期为1580万港元。公司拟将有关所得款项净额中的约1400万港元用于偿还集团的到期借款及应付款项，余下180万港元预留用作集团的营运资金，以履行薪金、租金付款、专业费用及办公室开支等一般用途。
