百富环球与高阳科技续签三年框架协议
财中社12月31日电百富环球（00327）发布公告，宣布与控股股东高阳科技（中国）有限公司签订了为期三年的框架协议，自2025年1月1日起至2027年12月31日止，继续销售电子支付终端产品。该协议是在现有框架协议到期后续签，旨在确保本公司的日常及一般业务的持续运作。
根据公告，截至2024年12月31日的年度上限为2000万港元，预计在2025年至2027年每年的销售代价均为2000万港元。此上限是基于市场竞争、销售历史数据及行业趋势评估而设定的。公告中提到，实际代价在截至2024年11月30日的11个月内并未超出现有框架协议的年度上限。
为保障股东权益，公司制定了严格的内部监控措施，确保与高阳的交易按公平合理的正常商业条款进行，且不低于向独立第三方提供的条款。此外，公司的外部核数师将进行年度审阅，确保交易的合规性和透明度。
