智通财经APP讯，协鑫新能源(00451)公布，于美国太平洋标准时间2024年12月30日(香港时间2024年12月31日)，GCL New Energy, Inc.(作为卖方，为该公司间接全资附属公司)与Wilson Solar (作为买方)订立成员权益买卖协议，GCL New Energy, Inc.同意向Wilson Solar出售目标公司的销售成员权益，代价为约1.07亿港元。目标公司拥有位于美国北卡罗莱纳州的八个光伏设施，其总装机容量约为83MW。
于交割后，目标公司将不再为该集团的附属公司，且目标公司的溢利及亏损以及资产及负债将不再于公司的财务报表综合入账。
为配合其“转型升级”发展目标，公司持续推进轻资产模式转型。于出售事项完成后，目标公司将不再为集团的附属公司，且目标公司的溢利及亏损以及资产及负债将不再于公司的财务报表综合入账。出售事项可减轻集团在管理太阳能光伏设施发电项目上的额外成本，为集团资产活跃提供良机。此外，出售事项可使集团优化资源配置，增加集团的流动资金，以进一步发展光伏及其他清洁能源领域的运营及管理服务。
