康耐特光学承配人拟收购不超过4280万股
财中社12月29日电康耐特光学（02276）发布公告，承配人建议收购现有股份。根据公告，承配人已与若干现有股东（不包括公司控股股东）进行磋商，拟收购不超过4280万股股份。如果收购全部完成，承配人将持有合共9613万股股份。该收购受条件限制，最终股份数量和完成时间尚未确定。
此外，公司与承配人于2024年12月28日签署了有条件共同承诺契约，承配人承诺在完成相关股份认购或收购后的36个月内，未经公司同意，不得出售其所获股份，除非出现特殊情况。同时，公司同意在承配人持有公司已发行股本不少于10%时，尽最大努力促使承配人提名的候选人担任非执行董事。公告提到，配售事项和建议收购现有股份事项尚未完成，建议股东在买卖公司证券时保持谨慎。
