世茂服务(00873.HK) 公布，于今日(3日)，世茂天成及买方上海栩茂锐企业管理(均为公司间接全资附属)与卖方深圳佳兄投资发展及原股东钟志平及钟伟平订立股权转让协议及和解协议，买方购买深圳世路源环境33%股权。对价定为8,315.9万元人民币。由于收购事项的对价将用作抵销原协议项下结欠集团的业绩弥偿，因此集团不会就收购事项向卖方支付现金。
深圳世路源环境主要在中国从事提供城乡环卫一体化服务，现时为集团持有67%权益的非全资拥有附属公司。于收购事项完成后，目标公司将成为公司的间接全资附属公司。
集团指，由于目标公司业绩未达原协议项下预期，以及根据原协议之条款，卖方、原股东及提供业绩弥偿之其他各方须就差额向集团作出赔偿。收购事项现作为偿付业绩弥偿的一部分。 (ha/)(港股报价延迟最少十五分钟。)
