智通财经APP讯，盈健医疗(01419)发布公告，于2025年1月3日， Rank Best(公司的间接全资附属公司)，卖方(Monarch Medical Holdings Limited)和张裕龙医生订立买卖协议，据此，Rank Best有条件同意收购，及卖方有条件同意出售目标公司已发行股本总数的75%，代价为3885万港元(可予调整)。
目标公司为祐德牙医诊所有限公司，是由张医生透过卖方最终持有，主要从事经营牙科诊所，以提供牙科服务。于完成后，Rank Best将持有目标公司已发行股本的75%，目标公司将成为公司的间接非全资附属公司。目标公司的财务业绩将被合并至集团的综合财务报表。而完成后，张医生将透过卖方持有目标公司剩余已发行股本的25%。
作为股东协议的一部分，卖方将被授予出售选择权，可根据股东协议的条款和条件，要求Rank Best购买其持有目标公司的所有股份。
