智通财经APP讯，绿科科技国际(00195)发布公告，于2025年1月14日，要约人Mangkon Road Limited通知受要约公司，彼有确实意向提出部分收购要约(遵照收购守则)，以要约价每股要约股份0.14港元收购要约人及其一致行动人士尚未拥有的不超过2.05亿股要约股份(占受要约公司于本公告日期已发行股本15.00%)。部分收购要约须待先决条件获达成后，方可作出。 要约价每股要约股份0.14港元较：股份于2024年8月30日(即最后交易日)在联交所所报收市价每股0.28港元折让50%。
按要约价每股要约股份0.14港元计算，并假设合资格股东已就全部2.05亿 股要约股份悉数提呈有效接纳部分收购要约，要约人根据部分收购要约向合资格股东购买2.05亿股要约股份须支付的现金代价总额为2868.6万港元。
要约人认为，受要约公司在澳洲塔斯曼尼亚的锡矿开采业务具有长远发展潜力。鉴于复牌指引，倘股份在最坏情况下除牌，要约人准备持有非上市投资。经评估及将暂停买卖及事件构成的风险比对受要约集团锡矿开采业务长期发展潜力后，要约人拟收购不超过受要约公司已发行股本总额的15.00%。
