智通财经APP讯，中国红包(08316)发布公告，于2025年1月15日(联交所交易时段后)，本公司与认购人刘惠敏女士订立认购协议，本公司有条件同意配发及发行而认购人有条件同意认购认购股份，认购价为每股认购股份0.203港元。认购人根据认购协议应付的总认购金额919.79万港元将以本公司应付认购人的部分债务资本化的方式偿付。向认购人配发及发行认购股份即为对该部分债务的全部及最终清偿。本公司须于完成后3个月内以现金偿付债务的尚未偿还结余。
假设于本公告日期至完成期间已发行股份数目并无变动，4531万股认购股份相当于本公司于本公告日期现有已发行股本约4.99%，及经配发及发行认购股份扩大后本公司已发行股本约4.75%。认购价为每股认购股份0.203港元较股份于2025年1月15日(即认购协议日期)在联交所所报收市价每股0.200港元有溢价约1.5%。
