金隅集团(02009.HK) 公布，控股子公司邯郸金隅太行商(石仝)科技拟以评估值3,417.84万元人民币作对价，收购河北锋帆贸易、河北追达建筑劳务分包持有的“邯郸市永年区宏鹏商(石仝)”90%股权。本次交易完成后“宏鹏商(石仝)”成为金隅集团合并报表范围的子公司。据介绍，“宏鹏商(石仝)”的经营范围包括商(石仝)(即混凝土)搅拌和销售，注册资本为1,200万元人民币。
金隅集团表示，通过本次收购，标的企业与邯郸市主城区金隅商(石仝)所属站点形成销售联动，实现邯郸商(石仝)主城区市场全覆盖，进一步完善区域布局，提升金隅商(石仝)在邯郸区域的影响力，提高市场占有率，发挥协同优势，具有战略意义。
另外，是次收购与金隅集团水泥业务实现内部资源协同，收购宏鹏商(石仝)可形成公司产业链竞争胜势，开拓永年及周边市场，提高金隅水泥销量，增强集团产业链资源共享，实现集团产业链效益最大化。(js/w)
