中庆股份与中庆投资签署建设工程分包框架协议
财中社1月17日电中庆股份（01855）发布公告，公司与其关联公司中庆投资于2025年1月17日签订了建设工程分包框架协议。根据协议，公司同意委任中庆投资提供建设工程服务，协议有效期从2025年1月17日至2025年12月31日，且可在双方同意下续期三年。
根据上市规则，因该协议下年度上限的适用百分比率超过0.1%但低于5%，因此该协议及其下拟进行的交易须遵守上市规则的申报及公告规定，但获得豁免独立股东批准。协议的建议年度上限为1亿元，主要考虑到公司现有及筹备中项目的需求，尤其是长春市如意湖片区旅游开发项目的建设服务需求。
此外，董事会认为分包建设工程可以充分利用外部专业知识，提高项目管理灵活性，从而符合公司及股东的整体利益。为确保遵守年度上限及上市规则，公司已采取多项内部控制措施，包括定期报告项目状况和独立非执行董事的季度审查。
