　　嘉兴燃气（09908）发布公告，于2025年1月17日，买方（一家本公司直接全资附属公司）与卖方盐城祥源房地产订立股权转让协议，买方已同意有条件地向卖方收购目标公司星洲佳源13.5%股权，代价为人民币8900万元。于2023年收购事项及2024年收购事项完成后，于股权转让协议日期，目标公司由本集团直接持有合共26.5%权益。于完成后，目标公司将由本集团持有合共40%权益。

　　目标公司为一家根据中国法律成立的有限公司，于股权转让协议日期，分别由卖方、买方、都市房地产、山东瑞欣和及嘉燃香港直接持有48.5%、20%、15%、10%及6.5%。都市房地产为一家根据中国法律成立的有限公司，由盐城市人民政府最终全资拥有且为独立第三方。山东瑞欣和为一家根据中国法律成立的有限公司，主要从事化工产品销售、新材料技术推广服务、危险化学品经营等。嘉燃香港为一家于香港注册成立的私人股份有限公司及本公司的直接全资附属公司，主要从事液化天然气贸易。

　　目标公司主要从事物业开发、物业管理及停车场管理。于股权转让协议日期，目标公司就于江苏省盐城市的一幅商住用地持有土地使用权，总用地面积为130，827.0平方米。
