新明中国(02699.HK) 公布，其执行董事、主席兼首席执行官陈承守配售7.52亿股，占全部已发行股本的40.04%，每股配售价0.011元。
陈承守再以总代价198.37万元向Motivational Mathematics出售合共1.87亿股公司股份，占全部已发行股本约10%，后者成为公司主要股东。
此外，Advance Day及Chance Talent已以总代价3,150万元，向Motivational Mathematics转让不受任何担保限制的可换股债券，以及所有附带的权利及应有的收益。如悉数行使，Motivational Mathematics将持有4.04亿股公司股份，占扩大后股本约19.27%。
完成后，陈承守于公司的持股量由51.33%降至1.3%。于股份销售后，股份购买方Motivational Mathematics成为公司的主要股东。(jl/w)(港股报价延迟最少十五分钟。)
