联合集团(00373.HK) 及新鸿基公司(00086.HK) 联合公布，新鸿基于昨日(21日)订立具约束力的协议纲领。据悉，新鸿基同意承诺1亿美元(折合约7.77亿港元)的资金投资于WCD基金，并承诺向Wentworth GP信托基金投放2,500万澳元(折合约1.22亿港元)，作为基石投资以投资于Wentworth的各项投资策略，提供策略服务及向WCD提供营运资金贷款。
据介绍，Wentworth为一间于澳洲注册成立的私人有限公司。Wentworth之主要业务为投资控股。其附属公司及联营实体之主要业务为房地产投资、基金及物业管理。截至昨日，Wentworth由Alastair Nash占多数控制权。
订立协议纲领前，新鸿基间接全资附属公司SHK Bullion于去年12月20日与Wentworth订立股权交易。据悉，SHK Bullion认购可换股票据，金额为416万澳元，可转换为Wentworth及Balance Sheet Trust的少数股权，以及有关Wentworth及Balance Sheet Trust持续企业管治事宜的协议。可换股票据的年期为18个月，票面年利率为10%。(js/w)
